End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legal contract between you (the “User”) and the Parents League of New York (“PLNY,” “we,” “our,” or “us”) regarding access to and permitted uses of the digital content, resources, and services made available through PLNY’s website or membership.

1. License Grant

PLNY grants you a limited, non-exclusive, non-transferable, revocable license to access and use any downloadable resources or digital content that may be made available via the PLNY website (e.g., PDFs, directories, member-only materials) solely for personal, non-commercial purposes in accordance with this Agreement. This license does not permit the resale, distribution, or use of the materials for any commercial gain.

2. Restrictions on Use

You may not:

  • Copy, distribute, or publish PLNY content for commercial purposes;
  • Modify, alter, or create derivative works based on our content;
  • License, sell, lease, or transfer your access to any third party;
  • Use automated tools to download, scrape, or index PLNY content;
  • Bypass security measures or attempt to gain unauthorized access;
  • Use any PLNY content to train artificial intelligence or machine learning models.

You acknowledge that your activity on the PLNY website may be measured using advertising and analytics tools such as Google Analytics and Meta Pixel, subject to the terms of our Privacy Notice and Cookie Consent Notice. Data collection for advertising purposes is governed by applicable consent mechanisms.

PLNY retains all rights not expressly granted to you in this Agreement.

3. Ownership and Intellectual Property

All content made available by PLNY remains the intellectual property of the Parents League of New York. No ownership rights are transferred to you under this Agreement. You agree not to remove, obscure, or alter any copyright, trademark, or proprietary notices. You further agree not to falsely imply any association or endorsement by PLNY.

4. Term and Termination

This Agreement remains in effect until terminated. PLNY may suspend or terminate your access without notice if you violate the terms of this Agreement or your membership lapses.PLNY also reserves the right to remove access after extended inactivity, as governed by our internal data retention and deletion schedule, which includes periodic reviews for user account activity.

5. Disclaimer of Warranties

PLNY provides licensed content on an “as-is” basis without warranties of any kind. We do not guarantee uninterrupted access, accuracy, completeness, or fitness for a particular purpose. PLNY disclaims all warranties, express or implied, to the fullest extent permitted by law. Your use of our content is at your sole risk.

6. Limitation of Liability

To the fullest extent permitted by law, PLNY shall not be liable for any indirect, incidental, special, punitive, or consequential damages resulting from the use or inability to use the licensed content, even if advised of the possibility of such damages. In jurisdictions that do not allow certain limitations of liability, PLNY’s liability shall be limited to the maximum extent permitted by law.

7. User Representations

By using PLNY’s content, you represent that:

  • You are at least 18 years old;
  • You are not using the content for unlawful purposes;
  • You will comply with all applicable laws and regulations.

Parents or legal guardians may access content on behalf of minor children, but remain fully responsible for ensuring appropriate supervision.

8. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration in New York County, New York, in accordance with the rules of the American Arbitration Association. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

9. Modifications

PLNY reserves the right to modify or update this Agreement at any time. Any changes will be posted with an updated effective date. Continued use of the licensed content following such changes constitutes acceptance of the revised Agreement.
